In summary we support the main proposals, would like to see binding votes on pay being "special" resolutions (I.e requiring a 75% majority in favour) and would like to see AIM companies covered by these regulation as well.

Cable's Pay Review - A good first step - see Press020 . ShareSoc welcomes the publication by Vince Cable's B.I.S. Department of proposals for shareholders to have more say in the remuneration of public company directors. But we suggest it needs to also cover AIM companies and the composition of Remuneration Committees.

It looks as though the Government is intending to back away from doing anything significant to reform the process of pre-pack administrations. This iniquitous system has deprived many shareholders in listed companies of their ownership rights. The Financial Reporting Council (FRC) are undertaking a consultion on "Effective Company Stewardship" which covers reporting to shareholders and the audit process. It includes a proposal to drop printed annual reports. See FRC_Response for ShareSoc's submission. A supplementary response covering the issue of Nomination Committees was also submitted in this document: FRC_Response_Supp .


The European Commision has launched proposals under the title "MIFID II" for revised directives to regulate financial markets. This includes tighter restrictions in many areas, including even the option to ban execution-only trading altogether. ShareSoc has made vigorous objections to these proposals.
