Pan African Resources (PAF) AGM Report 2011

Yesterday I attended the Annual General Meeting of Pan African Resources Plc, a gold and platinum mining company based in South Africa. It was profiled in the March 2011 ShareSoc Informer newsletter. Although the company operates primarily in South Africa it is registered and listed in the UK and the AGM was therefore held in London. The Chairman, Cyril Ramaphosa, did not attend so the meeting was chaired, and very effectively, by Deputy Chairman Keith Spencer. Jan Nelson, the Chief Executive, was ...

Nighthawk Energy (HAWK) AGM Report 2011

Introduction and Background Nighthawk's AGM was held at the offices of FTI Consulting (fka Financial Dynamics), their PR advisers, earlier today. Around 8 private investors attended, including well known ADVFN posters ciao4niao, dorset64 and ShareSoc and TMF luminary, carmensfella. There have recently been numerous board changes at Nighthawk: 14th June, Richard Swindells appointed to the Board as CFO 8th September, Mike Thomsen replaced by Stephen Gutteridge as Chairman 20th October, Mike Thomsen (MT) steps down from the Board but remains as President ...

Abcam (ABC) AGM Report 2011 – Why waiving salary can make you richer

Yesterday I visited the offices of Abcam Plc in Cambridge for their AGM at 10.00 am– not the most convenient time if you are travelling any distance as I said to one of the directors. Abcam is a highly successful seller of antibodies to scientists which they do via the internet. Indeed the share price of Abcam, which is listed on AIM, trebled in three years before reaching a peak of 460p in July this year, although it has fallen back since ...

Bglobal (BGBL) AGM Report 2011

This AIM listed company decided to hold its recent AGM at 9am on Wednesday 28th September at its offices in Blackburn, Lancashire. ShareSoc members will not be surprised to learn that I was the only shareholder, other than the directors, present at this event. Without the fortuitous combination of a visit to relatives, attendance at such events can be difficult to justify – not the purpose of a General Meeting of a company with its investors. Other ShareSoc members have commented ...

City of London Investment Group (CLIG) AGM Report 2011

Today I visited the offices of City of London Investment Group (CLIG) in Gracechurch Street, City of London, for their Annual General Meeting. Although it was probably the hottest October day since records began, the directors were all smartly dressed and wearing ties, unlike the 5 ordinary shareholders who attended. A difference from many AGMs was that two of the directors attended by video conference and a third via a telephone conference call, but the main directors were present in person. CLIG ...

Prologic (PGC) AGM Report 2011 – Taking a Bath

Today I visited the offices of Prologic Plc in Berkhamstead for their AGM at 10.00 am on a Monday morning – not the most convenient time if you are travelling any distance – indeed one director only arrived just as the meeting closed, but the main players were there on time. Prologic is a software solutions provider to the retail sector – particularly fashion retailers. Revenue has been static for the last three years, and profits negligible (ignoring the large write-offs of ...

Downing Distribution VCT2 (DI3O) AGM Report 2011

Downing Distribution VCT2 is the result of several past mergers of poorly performing VCTs, including Pennine AIM VCT and Pennine Downing AIM in which I invested. Like the Rensburg AIM VCT which was covered in the last ShareSoc newsletter, this VCT seems to have suffered the same problems as other AIM VCTs, but it changed its investment policy last year and of course changed name also. This has meant substantial changes to the portfolio as the fund manager refocused and reselected investments ...

Intercede AGM Report – A Family Run Software Business

Today I visited the offices of Intercede Plc in Lutterworth, Leicestershire to attend their AGM (they lease a large old house as their offices, which are nearing capacity, in this small town). Intercede sells the MyID identity and credential management system. Basically this manages the identities of people within a single integrated platform (for more information, see www.intercede.com ). Revenue was only £6.8m last year and profits £2.0 despite the fact they have been developing this market for many years and ...

Carclo (CAR) AGM Report 2011 – Holiday Inn Wakefield

Carclo has begun to appear on a number of TMF contributors ‘radars’ and I know that I have mentioned it to a couple of veteran ‘Mello attendees’ in the past. So, rather like last year’s trek, I headed up to the slightly downtrodden Holiday Inn, just off Junction 40 of the M1, to see how things have been progressing. Having signed the attendance list on my way in (It was a little like signing a sponsorship form for which I am frequently ...

Software Radio Technology (SRT) AGM Report 2011 – An Example of a Good AGM

Software Radio Technology held its Annual General Meeting on the 8th September at its offices in Midsomer Norton (south of Bath for those who have no idea where that is). Surprisingly about 40 shareholders attended even so. At least the time of 11.00 a.m. meant I did not have to get up much before dawn. The attendees were of course all private shareholders so far as I could tell, with some from a local “share club” – as there was no ...
